Terms and Conditions

Version 2026-10-31.4. Effective October 31, 2026.

These Terms explain exactly how I work, what you pay for, and what happens in every situation I can reasonably foresee. "I", "me" and "Leo" mean Leonardo Valdivia, an individual sole proprietor doing business as LeoValdi, an independent web developer in Washington State, USA. "You" and "client" mean the person or business that requests or pays for a project. By checking the acceptance box and paying a deposit, or by approving a written quote, you agree to these Terms. If anything is unclear, text me before you pay.

1. The short version

  • If you want exactly one of my listed packages, you pay that package price. Nothing hidden.
  • Anything outside the package scope needs a written quote that you approve before I do the work.
  • The deposit is 50% of the package price. It reserves your spot and starts the work. It is credited in full to your total.
  • The price you paid is honored for the agreed scope. It only changes if you ask for more and approve a change quote in writing first.
  • The remaining balance is due before launch or handoff.
  • Extra work is reviewed and quoted separately, always approved by you in writing first.
  • You get 30 days of free bug fixes after launch.
  • Your website runs on an active monthly plan (Basic $49 or Plus $99). Basic covers hosting, your web address and security; Plus adds support, changes, backups and a monthly check-up.
  • The service does not include source code. If you want it, it is quoted and billed separately depending on the project.

2. How a project works

  1. 1

    Step 1

    Request

You answer the questions in the project form on my site, or text me.

  2. 2

    Step 2

    Review

I review your request and reply within 1 business day, usually by text. I tell you whether it fits a listed package or needs a custom quote.

  3. 3

    Step 3

    Package or quote

If it fits a package, the package price applies. If it does not, I send a written quote with the exact scope, price, timeline and revision rounds.

  4. 4

    Step 4

    Payment

You pay the deposit with the payment details or secure payment link I send you, or approve the quote and pay its deposit.

  5. 5

    Step 5

    Kickoff

I confirm your start date and send a short checklist of what I need (content, logo, photos, logins).

  6. 6

    Step 6

    Build

I design and build on a private preview link so you can see real pages, not just mockups.

  7. 7

    Step 7

    Review rounds

You send feedback in one consolidated list per round. I apply it. Each package includes a set number of rounds.

  8. 8

    Step 8

    Final approval and balance

When you approve the final version, I send the balance invoice.

  9. 9

    Step 9

    Launch

After the balance is paid, I publish the site or system on your domain and accounts.

  10. 10

    Step 10

    Handoff

You receive access to every account, a plain language guide, and your files. The warranty period starts.

Meetings

All meetings are virtual by default, by video call (Google Meet or Zoom). In person meetings are possible only subject to my availability and, depending on the situation (for example distance or travel time), may carry an extra travel cost. I tell you that cost and you approve it in writing before the meeting is scheduled. I do not take sales or support phone calls; we communicate by text, email and scheduled video calls.

3. Packages and custom quotes

Listed packages have a fixed price and a fixed scope. If your project matches a package, you pay exactly that package price. There are no hourly charges inside the package scope.

If you want something different from, or in addition to, a package, it is custom work. I send you a written quote first. No custom work starts until you approve it in writing (a text or email reply saying you approve is enough). Quotes are valid for 30 days.

Prices on the site say "starting at" because they describe the package scope below. If what you ask for fits that scope, the starting price is the price.

Custom systems (CRMs, automations, AI phone agents, internal tools, integrations) have no listed price, because each company needs something different. They always start with a free virtual discovery meeting and a written proposal, as described in section 6.

4. Exactly what each package includes

A "page" is one distinct URL on your site. A "section" is one horizontal block of content on a page. Delivery estimates count business days (Monday to Friday, excluding US federal holidays) and start when I have everything I need from you.

Launch: $750

Deposit $375 (50%). Balance $375. Revision rounds included: 2. Estimated delivery of the first full version: 5 to 7 business days after I receive everything listed in "Your responsibilities".

Included:

  • One page website with up to 6 sections (for example: hero, services, about, reviews, service area, contact).
  • Custom design based on your brand colors and logo. No purchased templates.
  • Mobile first layout, tested on current iPhone, Android, and desktop browsers.
  • One contact form that sends leads to one email address, plus tap to call and tap to text buttons.
  • Light editing of the text you provide (grammar, clarity, headings).
  • Your web address (domain) connected, hosting on a modern platform and SSL, kept running by your monthly plan.
  • Setup or connection of your Google Business Profile link and basic website analytics.
  • Basic on page SEO: page title, description, social share image, and sitemap.
  • A plain language handoff: how to request changes and where your accounts live.

Not included:

  • Extra pages, blog, online booking, online payments, or a customer login.
  • Writing all the copy from scratch, logo design, photography, or video.
  • A second language version of the site.
  • Paid stock photos, paid fonts and paid plugins. Hosting and your web address are covered by the monthly plan (section 15), which is billed separately.

Business: $1,500

Deposit $750 (50%). Balance $750. Revision rounds included: 2. Estimated delivery of the first full version: 10 to 15 business days after I receive everything listed in "Your responsibilities".

Included:

  • Everything in Launch, applied to a website of up to 5 pages (for example: Home, Services, About, Gallery or Reviews, Contact).
  • Up to 8 sections per page.
  • Copy help: page structure plus writing and polishing text from the information you give me, for the included pages.
  • Lead capture forms that send to your inbox, with an automatic confirmation email to the visitor.
  • Local SEO foundations: titles and descriptions for every page, local business structured data, sitemap, and Google Search Console setup.
  • Analytics from day one, connected to your own account.

Not included:

  • Pages beyond 5, online booking, online payments, a blog with ongoing posts, or a customer login.
  • Ongoing SEO, ads management, or monthly content.
  • A second language version of the site.
  • Third party costs listed in the Terms.

Booking: $2,500

Deposit $1,250 (50%). Balance $1,250. Revision rounds included: 3. Estimated delivery of the first full version: 10 to 15 business days after I receive everything listed in "Your responsibilities".

Included:

  • Everything in Business.
  • One online booking calendar connected to the site, with up to 10 service types and one staff calendar.
  • Online payments or deposits through your own Stripe account (you are the merchant; the money goes to you).
  • Automatic booking confirmations by email.
  • Reminders by text or email through the booking tool, once your messaging is approved by the provider.

Not included:

  • Booking tool, messaging, or payment processing fees (these are billed to you by those providers).
  • Multi location setups, more than one staff calendar, memberships, gift cards, or custom booking logic.
  • A second language version of the site.
  • Third party costs listed in the Terms.

5. What the deposit covers

  • The deposit is 50% of the package price (Launch $375, Business $750, Booking $1,250).
  • It reserves your spot in my schedule. I do not give that time to anyone else.
  • It starts work on the exact scope listed for your package in section 4.
  • It is credited in full to your total. It is not an extra fee.
  • If you chose "help me choose" instead of a package, the $375 deposit reserves your spot and starts planning. We confirm the package in writing and the deposit is credited in full to its price.
  • The deposit does not cover third party costs (section 13) or work outside the package scope.

6. Custom systems: discovery meeting, proposal and kickoff deposit

You request a custom system through the custom system form on my site. I review your answers and confirm a meeting time by text or email.

The first discovery meeting is free and virtual (up to 60 minutes). It does not commit you to anything. If the project makes sense, I send you a written proposal with a fixed price, scope, timeline and revision rounds, usually within 7 business days after the meeting.

No payment is requested before the proposal. Nothing is paid through the custom system form on the site.

For custom systems, what is delivered, how it is delivered, who owns what, and the support after launch are defined in each written proposal. Where the proposal is silent, these Terms apply.

If you want to go ahead, the work starts with a kickoff deposit stated in the proposal (usually $500, or the amount the proposal says). It pays for detailed planning (additional meetings, mapping your processes, and my research time) and reserves your spot. The kickoff deposit applies only after I send you a written proposal and you approve it.

The kickoff deposit is credited in full to the project price. Proposals are valid for 30 days. If you decide not to go ahead after the free meeting or after reading the proposal, you owe nothing.

7. Price lock and scope changes

The price you paid or approved is honored for the agreed scope. I will not raise it because the work took me longer than expected.

The price only changes if you request changes to the scope. When you do, I send a change quote (price and time impact). Nothing changes, and nothing extra is billed, until you approve it in writing.

The price lock applies while the project is active. If a project is closed for inactivity (section 10) and you restart it more than 6 months later, I may quote current prices.

8. Revisions vs change requests

A revision is an adjustment to work I delivered, inside the agreed scope. Examples: editing text, swapping images you provide, changing colors or fonts, reordering or resizing existing sections, fixing anything that does not match what we agreed.

A change request is new or different work. Examples: new pages, sections or features; new integrations; redoing a design you already approved; a new direction after the first draft; content that arrives after building started and requires rework; rounds beyond the ones included.

Each round means you send one consolidated list of feedback and I apply it. Feedback sent in pieces during the same round counts as one round as long as it arrives before I start applying it. Unused rounds do not carry over after launch.

Anything I got wrong compared to the agreed scope is fixed for free and never uses a revision round.

9. How extra work is charged

  • Every piece of extra work is reviewed and quoted separately, based on what you ask for.
  • Before any extra work, I send you the quote. Work starts only after your written approval. If something will cost more than quoted, I stop and ask before continuing.
  • Extra work is invoiced when completed, or with the final balance if it happens before launch.

10. Your responsibilities, delays and inactivity

  • Send the content for your project: business details, text or the information to write it, logo, photos, service list, prices, and any brand rules.
  • Give me the access I need (domain, Google, booking or CRM accounts) in a secure way (section 18).
  • Reply to each review round within 5 business days.
  • Make sure you have the rights to everything you send me (section 19).
  • Name one person who approves decisions for your side.

Delivery estimates pause while I am waiting on you. If I wait more than 10 business days, your project may move to my next available slot.

If I do not hear from you for 30 days after I asked for something, the project is paused and I tell you by text or email. If 60 days pass with no reply, the project is closed. When a project closes, payments made are not refunded, and I deliver the work finished so far on request. You can restart it later, subject to my availability and section 7.

11. Balance, late payments and how you pay

  • Payments are made through Stripe secure checkout or an invoice link. I never ask for card numbers by text or email.
  • The balance is due before launch or handoff. I send the invoice when you approve the final version, payable within 7 days.
  • Your site stays on the private preview until the balance is paid. Launch happens after payment.
  • If an invoice is 15 days overdue, I pause all work and support until it is paid, and I may add a late fee of 1% per month on the overdue amount, as allowed by Washington law.
  • Prices are in US dollars. Any sales tax that applies is added as required by law.
  • I cover the Stripe fees on payments you make to me.

12. Cancellations and refunds

If you cancel

  • Within 48 hours of paying, and before I start work: full refund of the deposit.
  • After work has started and before the first draft: the deposit is not refundable because it paid for your reserved time and the work done. No further payment is owed.
  • After the first draft or during review rounds: the deposit is not refundable, no further payment is owed, and I deliver the work done so far on request. You may use it once delivered.
  • After final approval or launch: payments are not refundable. The warranty in section 16 still applies.
  • Kickoff deposit for a custom system: full refund within 48 hours of paying if the detailed planning has not started. After planning starts, it is not refundable. The first discovery meeting is always free.
  • Approved extra work that has been done is billable even if you cancel.

If I cancel

  • If I cancel for a reason that is not your breach of these Terms, I refund everything you paid for work not yet delivered. If I have delivered nothing, that is a full refund.
  • If I end the project because of your breach (for example non payment, abuse, or illegal requests), section 25 applies.

Refunds go back to the original payment method within 10 business days. Stripe may take a few more days to show it.

13. Third party costs and services

  • The monthly plan (section 15) covers the normal costs of keeping your website running: hosting, registering and renewing your web address (domain), and security certificates.
  • Not included unless your package or quote says otherwise: paid plugins or themes, paid fonts, stock photos, email inboxes, CRM or booking subscriptions, phone numbers, text message fees and registration, and Stripe or other fees on payments your business collects.
  • Each provider bills those extra services directly, in your own account whenever possible. If I pay for one on your behalf, I bill it at cost after you approve it.
  • Third party services have their own terms, prices and outages. I am not responsible for their downtime, price changes, rule changes or decisions about your account, but I will help you sort it out.

14. Delivery, hosting and domain

What is delivered (website packages)

  • The service: your website designed, built and published live at your web address, running for as long as your monthly plan is active.
  • Your web address (domain) is registered in your name whenever possible. While your plan is active, I pay for it and renew it.
  • Source code is not included. What you are buying is the service of having your website running, not the technical files it is built with. If you want the source code, it is quoted and billed separately depending on the project (section 17).
  • Access to the accounts in your name (for example your Google Business profile), shared securely. Never by regular text message.
  • A short guide (how to request changes and who to contact), plus a 30 minute virtual walkthrough.
  • Licenses for any stock photos or fonts used, under each license's terms.
  • You provide your own content (text, logo, photos) unless copywriting or photos are part of your package or quoted separately.

How delivery works

  1. 1

    Step 1

I share a private preview link so you can review the real site.

  2. 2

    Step 2

You give final approval in writing (a text or email reply is enough).

  3. 3

    Step 3

I launch the site at your web address

    Launch counts as delivery.

  4. 4

    Step 4

The 30 day bug fix warranty (section 16) starts on launch day.

  5. 5

    Step 5

Your monthly plan (section 15) starts on launch day.

Hosting and web address

  • Your website runs on hosting I manage, as part of the monthly plan. You do not need to buy or pay for hosting separately.
  • While your plan is active, I take care of renewing your web address and hosting so your site never goes down over a missed payment.
  • I am not responsible for outages, price changes or decisions by outside providers, but I will help you sort it out and let you know if something affects you.

15. Monthly peace of mind plan (required)

Every website requires an active monthly plan. It is what keeps your website online, safe and up to date. Plans are paid monthly in advance, start on launch day and have no long term contract. You can cancel anytime with 30 days notice.

You choose your plan inside your website request. There are two plans:

Basic plan: $49 per month

Only the essentials to keep your website alive:

  • Hosting: keeping your website online and fast.
  • Registering and renewing your web address (domain).
  • Security updates and security certificate.
  • If your website goes down because of a failure on our servers, we bring it back online at no cost.

The Basic plan does not include changes, support or backups. Every change request is reviewed and quoted separately, with your written approval before any work. Emergencies not caused by our servers are also reviewed and quoted separately.

Plus plan: $99 per month

  • Everything in Basic.
  • 2 hours per month of changes and support. Includes small content updates (text, photos, prices, hours). Unused time does not carry over.
  • Priority response within 1 business day.
  • Emergencies handled first, whatever the cause. Fix time counts toward your monthly hours.
  • Backups of your website every 7 days.
  • A monthly check-up of your website with a simple report.
  • Direct support by text or email.

Response times: I reply to requests within 2 business days (1 for Plus), during my business hours, Monday to Friday, 9am to 5pm Pacific time. With Plus, emergencies are handled first.

Changes outside the plan, time beyond the 2 Plus hours, and emergencies we did not cause are reviewed and quoted separately, with your written approval before any work. New pages or features are quoted separately.

Plan prices may change. If they do, I will tell you in writing at least 30 days before, and you can cancel at no cost before the new price applies.

If you cancel or stop paying

  • Your website stays online until the end of the last paid month. If a payment is more than 15 days late, I may pause the website until it is brought up to date.
  • When the plan ends, the service ends: your website is no longer hosted on my hosting.
  • Your web address is yours. If it is in my name or account, I transfer it to you at no cost when you ask, as long as your payments are up to date.
  • Your content (text, logo and photos you gave me) is always yours and I return it if you ask.
  • If you want to move your website to another provider, you can buy the source code (section 17) or ask me for a quote for the move.

16. Warranty: bug fixes vs new work

For 30 days after launch or handoff, I fix for free any bug in the work I delivered. A bug means something I built that does not work as agreed, for example a broken form, a broken link, or a layout that breaks on a common phone.

The warranty does not cover new features or content changes, problems caused by changes made by you or others, third party outages or updates, expired domains or unpaid accounts, or browsers and devices that are no longer supported by their makers.

After the warranty period, fixes are billed as extra work which your monthly plan covers within its included time (section 15).

17. Ownership, copyright and source code

  • What you are buying is a service: designing, building, publishing and maintaining your website while your monthly plan is active.
  • Source code is not included in any package or plan. The code, technical files, my general tools, reusable code and know how remain mine.
  • If you want your website's source code, it is quoted and billed separately depending on the project. Once paid, I deliver it and you get the usage rights stated in that quote.
  • Your content (logo, photos and text you gave me) is always yours, as are your brand and your web address.
  • Text I wrote specifically for your business is yours to keep using anywhere once the project is paid in full.
  • Open source code, fonts, images and services used in your project remain under their own licenses.

18. Accounts, passwords and access

  • Whenever possible, invite me as a user to your accounts instead of sending passwords. If you must share a password, use a secure method I suggest, never a public channel.
  • I use the access only for your project, keep it private, and use the minimum permissions needed.
  • After handoff, I delete any stored passwords within 30 days, unless your monthly plan needs that access. Please remove my access or change your passwords once the project ends.

19. Fonts, images and content licenses

  • I use fonts and images that are free for commercial use or that you license. Paid licenses are your cost and are bought in your name.
  • By sending me content, you confirm you have the right to use it (for example photos you took or bought, reviews from your real customers, logos you own).
  • If someone claims your content infringes their rights, you are responsible for that content (section 25).

20. Portfolio

I may show your finished project (screenshots, link, and a short description) in my portfolio and social media. I never share private data, internal systems, or numbers. If you prefer that I do not, tell me in writing and I will not.

21. Confidentiality

I keep your non public information private: business details, customer lists, prices, internal processes, and anything you mark as confidential. I only share it with the service providers needed to do your project. This duty continues after the project ends. It does not apply to information that is already public or that the law requires me to disclose.

22. AI assisted development

I use AI tools to help write code, draft text, and create or edit images, the same way I use other professional software. Every deliverable is directed, reviewed and tested by me, and I am responsible for it under these Terms. I do not put your passwords or payment information into AI tools. If you prefer that your content not be processed with AI tools, tell me before kickoff and I will quote any extra time it requires.

23. Results, SEO and accessibility

  • I build to modern best practices for speed, search engines and accessibility, but I do not guarantee search rankings, traffic, leads, sales, or any business result.
  • I follow common accessibility practices (for example readable contrast, image text alternatives, keyboard friendly forms), but I do not guarantee full compliance with any accessibility standard or law unless a quote says so.

24. Your business, your compliance

You are responsible for the legal side of your own business and of what your site says and does: licenses and permits, claims about your services, prices and taxes, your own privacy policy and cookie notices, consent before sending marketing texts or emails, payment and refund policies for your customers, and any industry rules (for example health or financial). I can implement what you need technically, but I do not give legal advice.

25. Limitation of liability, indemnity and termination

Limitation of liability

To the extent allowed by law, my total liability for any claim related to a project is limited to the amount you paid me for that project. I am not liable for indirect or consequential losses such as lost profits, lost data, or lost business, or for problems caused by third party services.

Indemnification

You agree to cover me against claims, losses and reasonable legal costs that come from the content you provided, your use of the deliverables, your business activities, or your breach of these Terms.

Force majeure

Neither of us is responsible for delays caused by events outside reasonable control, such as illness, emergencies, natural disasters, power or internet outages, or third party platform failures. Timelines move by the length of the event. If it lasts more than 30 days, either of us may end the project under section 12 as if I cancelled.

Termination

Either of us may end a project if the other seriously breaks these Terms and does not fix it within 7 days after written notice. If I end it because of your breach, payments made are not refunded and work completed is billable. I may also end a project immediately for abusive behavior or requests for illegal content.

26. Complaints, disputes and chargebacks

If something is not right, I want to know and fix it. Please follow these steps:

  1. 1

    Step 1

Text me at +1 (425) 409-7300 or email me, and describe the problem and what you would like to happen.

  2. 2

    Step 2

I confirm I received it within 2 business days.

  3. 3

    Step 3

Within 5 business days, I send a written plan

a fix, a change in timeline, a credit, or a refund when these Terms call for it.

  4. 4

    Step 4

If we still disagree, we talk it through by phone or video call.

  5. 5

    Step 5

If we cannot resolve it in good faith within 30 days, either of us may propose mediation with a neutral mediator in Washington, with costs shared equally, or file in small claims court in Washington.

Chargebacks: please contact me before disputing a charge with your bank. A dispute filed without trying the steps above may pause the project. I will answer any dispute with these Terms, your acceptance record, our messages, and the delivered work. If a dispute is decided in my favor, you agree to pay the dispute fee charged to me (currently $15).

27. Governing law

These Terms are governed by the laws of the State of Washington, USA. Any case not resolved through section 26 will be handled by the courts of Washington State, including small claims court.

28. General terms

  • Severability: if a part of these Terms is found invalid, the rest stays in effect.
  • Entire agreement: these Terms, your package or approved quote, and any written change quotes are our full agreement. A written quote wins if it conflicts with these Terms on that project.
  • Changes to these Terms: I may update them for future projects. The version you accepted applies to your project unless we both agree in writing to a newer one. Each version has a number and date at the top.
  • Language: these Terms are offered in English and Spanish and are meant to say the same thing. If they differ, the English version controls.
  • Written means text message or email. You can approve quotes and changes that way.

29. Electronic acceptance

When you check the acceptance box before paying, I record the Terms version, the date and time of acceptance, and your project request number with your project, and pass them to Stripe with your payment. That record, together with your payment, counts as your signature on these Terms.

30. Contact
